12.违约（Breakingthecontract）：

十、争议的解决DisputeResolution:

CLaimS:incasediscrepancyonthequalityorquantityofthegoodsisfoundbytheBuyer,afterarrivalofthegoodsattheportofdestination,theBuyermay,within30daysand15daysrespectivelyafterarrivalofthegoodsattheportofdestination,lodgewiththeSelleraclaimwhichshouldbesupportedbyaninspectionCertificateissuedbyapublicsurveyorapprovedbytheSeller.theSellershall,onthemeritsoftheclaim,eithermakegoodthelosssustainedbytheBuyerorrejecttheirclaim,itbeingagreedthatthesellershallnotbeheldresponsibleforanylossorlossesduetonaturalcausefailingwithintheresponsibilityofShipownersoftheUnderwriters.theSellershallreplytotheBuyerwithin30daysafterreceiptoftheclaim.
索赔：买方发现货物在质量和数量上有差异，货物到达目的港后，买主可以，在30天到15天之内，在货物抵达后在目地港，向卖方提出要求，要求应该被一份被卖方核准的公众的检查官发行的检验证书支援。卖方，在在赔偿要求中，要么承受买方损失要么拒绝索赔，经双方同意，卖方将不承担任何损失或者损失是由自然原因将或由船方造成的损失卖方应在30天内答复买方。

迟期交货及刑罚:以防迟到的传递,需方有权取消这个合同,拒绝接受货物和向卖方提出索赔。除不可抗力,如果迟期交货时,卖方必须支付违约金,买方有权向卖方提出索赔。罚金是,每7天,天数不到7天应安7天算由银行付款银行或由买方的货款中扣除。

aRBitRation:alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledamicablybynegotiation.incasenosettlementcanbereached,thecaseshallthenbesubmittedtotheChinainternationaleconomictradearbitrationCommissionforsettlementbyarbitrationinarbitrationinaccordancewiththeCommission’sarbitrationrules.theawardrenderedbymecommissionshallbefinalandbindingonbothparties.thefeesforarbitrationshallbebornebythelosing

仲裁:凡有关本合同或实施应通过友好协商予以解决。若通过友好协商未能达成协议,则应提交中国国际经济贸易仲裁委员会仲裁在解决根据该会的仲裁规则进行仲裁。我的裁决是中局的,对双方都有约束力。仲裁费用应由败诉方承担除非另有判决。
